These Terms of Service ("Terms") govern your access to and use of docufykit.com services ("Service") by Docufykit ("we", "us", "our").
By accessing or using the Service, you agree to these Terms.
1. Service Overview
The Service provides business-facing document verification and structured extraction capabilities, including:
- API-based document verification workflows
- customer portal for organizations, apps, members, and billing
- webhook delivery and event visibility
- related support and operational tooling
2. Eligibility and Authority
You represent that:
- you are at least the age of legal majority in your jurisdiction
- you are authorized to bind the legal entity you represent
- the information you provide is accurate and current
3. Accounts and Authentication
Access is controlled through email-based magic-link authentication and organization-scoped access controls.
You are responsible for:
- maintaining control of your email account
- safeguarding API keys and secrets
- promptly notifying us of unauthorized access
You must not share credentials or bypass access controls.
4. Customer Responsibilities
You are responsible for:
- lawful collection and submission of any data you process through the Service
- providing notices and obtaining consents required by law
- the accuracy of configuration and webhook endpoints
- your downstream handling of verification outputs
You agree not to use the Service for unlawful, harmful, deceptive, or abusive activity.
5. Acceptable Use
You must not:
- reverse engineer, probe, or disrupt the Service beyond allowed testing
- interfere with rate limits, quotas, or security controls
- upload malware or intentionally malformed payloads to degrade service
- use the Service to infringe privacy, intellectual property, or applicable law
We may suspend or restrict access for violations or security risk.
6. API Keys, Limits, and Environments
You must keep API keys confidential and rotate/revoke compromised keys immediately.
Sandbox and production environments may differ in limits, retries, queue behavior, and billing.
Published limits, quotas, and feature availability may change with plan updates.
7. Fees, Billing, and Taxes
Paid features, subscriptions, top-ups, and overage billing are governed by the plan selected in the Service.
Billing processing is handled by Stripe and related payment providers.
You agree to:
- pay applicable fees and taxes
- keep payment details current
- accept recurring billing where applicable under your selected plan
Unless required by law, fees are non-refundable.
8. Data and Privacy
Our processing of personal data is described in the Privacy Policy.
Where Docufykit acts as a processor, you remain responsible as controller for submitted customer data.
9. Intellectual Property
Docufykit and its licensors retain all rights, title, and interest in the Service, including software, models, design, content, and trademarks.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations.
You retain rights in content and data you submit, subject to rights required to operate the Service.
10. Confidentiality
Each party may receive confidential information from the other. The receiving party will:
- use it only for permitted purposes
- protect it with reasonable safeguards
- not disclose it except as permitted by agreement or law
11. Service Changes and Availability
We may modify, improve, or deprecate features over time.
We target reliable operation but do not guarantee uninterrupted or error-free availability.
Planned maintenance and emergency changes may affect availability.
12. Suspension and Termination
We may suspend or terminate access immediately if:
- you materially breach these Terms
- your use poses security, legal, or operational risk
- required payments are not made
You may stop using the Service at any time.
Upon termination, rights granted under these Terms end, subject to sections that by nature survive termination.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
- OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO DOCUFYKIT FOR THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15. Indemnification
You will defend, indemnify, and hold harmless Docufykit and its affiliates from claims, damages, liabilities, and expenses arising from:
- your content and submitted data
- your misuse of the Service
- your breach of these Terms or applicable law
16. Governing Law and Disputes
These Terms are governed by the laws of the Netherlands, excluding conflict-of-law rules, unless mandatory local law requires otherwise.
Disputes will be submitted to the competent courts of Amsterdam, the Netherlands, unless mandatory local law provides a different forum.
17. Changes to These Terms
We may update these Terms from time to time.
Material updates may be posted in the Service or otherwise communicated. Continued use after the effective date constitutes acceptance of updated Terms.
